The Company’s Activities
Centoro S.A. is a developer of enterprise-class software supporting the automation of wholesale sales (B2B).
The company is developing its own proprietary ecosystem of solutions, comprising the e-commerce platform B2B for the automatic processing of wholesale orders, the customer relationship management system CRM, the app SFA designed to support the work of field sales representatives, and the system OMS for the integration and management of sales on marketplaces. The solutions at Centoro are designed for manufacturers, distributors and wholesalers operating in the wholesale sector.
The company offers products on a subscription basis (SaaS) as a scalable platform that can be expanded with modules tailored to the specific nature of the client’s industry and processes, focusing on generating recurring revenue and building long-term business relationships.
Centoro The public limited company was incorporated on 5 June 2020 and made its debut on the NewConnect market on 5 November 2025.

Dawid Paszek
Chairman of the Board
He has been involved in the IT sector since 2004. He began his career as a freelance programmer and, in 2009, founded an IT company specialising in the development of web-based solutions. In 2012, he acquired the rights to the Centoro brand, marking the start of the development of his own technology product.
Between 2021 and 2023, he led the strategic transformation of Centoro and the development of a new version of the Centoro B2B platform, based on a modern technological architecture. As a result, the platform was launched on the market as a SaaS solution, designed to support the digitalisation of sales at B2B.
A graduate of the Canadian Executive MBA programme at the Université du Québec à Montréal, which he completed in 2023.
Andrzej Jankowski
Member of the Management Board
He has been involved in the IT sector for over twenty years. During his career, he has worked in the fields of project management, technology development and sales at B2B. He has collaborated with companies across various sectors, supporting them in the digitalisation of business processes and the use of modern IT tools in their day-to-day operations.
At Centoro, he focuses on developing the product ecosystem and coordinating work on its further expansion, scaling and adaptation to market needs B2B. He is responsible for collaboration between the product and project teams, ensuring that their activities are aligned with the overall development direction of the platform.
He also oversees the standardisation of implementation processes, client project management, and the servicing and maintenance of server infrastructure. He brings together technological, product and business perspectives, facilitating effective communication between key areas of the organisation.
Anna Hyjek
Member of the Management Board
She has been involved in the e-commerce sector since 2016. Since the start of her career, she has been developing her skills in the areas of sales B2B and business consultancy. She specialises in the development of online sales in the wholesale sector B2B and the use of modern digital solutions to streamline sales processes.
At Centoro, he is responsible for the development of the sales department, the implementation of sales strategies and the building of long-term relationships with clients. He supports companies in the digitalisation of their wholesale operations, helping them to effectively develop their B2B channels, streamline sales processes and achieve their business objectives.
She completed programmes at Harvard Business School Executive Education and the MIT Sloan School of Management – Digital Business Strategy, expanding her knowledge of digital strategy, leadership and business transformation.
Supervisory Board
Marek Dietl
Chairman of the Supervisory Board
Doctor of Economics, CFA Charterholder, holder of an Executive MBA and with many years’ experience in management and consultancy in the capital markets, including as Chairman of the Management Board of the Warsaw Stock Exchange S.A. He has held positions at, amongst others, the Centre for Emerging Technologies in Europe, the National Investment Fund and on numerous supervisory boards of limited companies, which confirms his expertise in the areas of corporate governance and financial analysis.
Mr Marek Dietl meets the independence criteria set out in the Act of 11 May 2017 on statutory auditors, audit firms and public oversight. Mr Marek Dietl has no actual or material links with any shareholder holding at least 5 per cent of the total number of votes in the company.
Jarosław Banacki
Vice-Chairman of the Supervisory Board
An entrepreneur with many years’ experience. He has built his own company from the ground up into a medium-sized enterprise (over 100 employees). He possesses knowledge and experience in business analysis, the development and analysis of IT software and web applications, UX, business organisation, people and team management, strategic planning, project management and many other areas. All this stems from having been a founder, owner, CEO or team leader for over 20 years.
Mr Jarosław Banacki meets the independence criteria set out in the Act of 11 May 2017 on statutory auditors, audit firms and public oversight. Mr Jarosław Banacki has no actual or material links with any shareholder holding at least 5 per cent of the total number of votes in the company.
Paweł Seroczyński
Member of the Supervisory Board
An entrepreneur with many years’ experience. Since 2008, he has continuously run the online shop www.sklepbaterie.pl as part of his business operations under the name Despol Sp. z o.o. Sp.k. He holds a degree in human resources management. Mr Paweł Seroczyński’s professional experience includes, amongst other things, holding a managerial position at Alnor Sp. z o.o.
Mr Paweł Seroczyński does not meet the independence criteria set out in the Act of 11 May 2017 on statutory auditors, audit firms and public oversight. Mr Paweł Seroczyński has actual and significant links with a shareholder holding at least 5 per cent of the total number of votes in the company.
Wojciech Szafałowicz
Member of the Supervisory Board
Mr Wojciech Szafałowicz has over 20 years’ managerial experience in the fuel and energy sector. He has held senior management positions at companies within the ORLEN GROUP, UNIMOT SA and Solumus SA, where he was responsible for sales strategy, domestic and international trade, logistics and management, and at Select Energy, where he also serves as managing director. He specialises in building commercial structures, optimising processes and achieving financial targets (EBITDA, margin). He has experience in creating KPI-based incentive schemes and adapting operational activities to regulatory requirements, as well as in implementing IT solutions within the industry. Trained in management, marketing analysis and project management, he is a graduate of the University of Gdańsk and the Warsaw School of Economics. He has also completed the prestigious management programmes at ORLEN House of Skills and the Kozminski Executive Business School.

Radosław Bryła
Member of the Supervisory Board
A graduate of the single-cycle Master’s degree programme in Economics at Nicolaus Copernicus University in Toruń and a postgraduate programme in accounting and taxation, with experience in management accounting, financial analysis, financial modelling, credit risk assessment and managing finance teams. He currently works as CFO at Value Finance.
Mr Radosław Bryła meets the independence criteria set out in the Act of 11 May 2017 on statutory auditors, audit firms and public oversight. Mr Radosław Bryła has no actual or material links with any shareholder holding at least 5 per cent of the total number of votes in the company.

The Company’s ownership structure
IV. Development Strategy for 2025–2027
The company is developing a proven business model, based on a scalable platform and increasing customer value, whilst focusing on further growing recurring revenue and improving operational efficiency.
The Issuer remains firmly focused on developing the innovative Centoro B2B platform, designed specifically to support online wholesale sales. Having completed the main phase of the product’s development, the Company is continuing to enhance it by adding new features and integrations to meet the growing needs of its customers and the changing market conditions.
The Company’s strategy is based on building a competitive advantage by continuing to focus on the development of the Centoro B2B platform.
Key elements of the strategy
Expansion of the platform’s functionality
The Issuer is systematically developing the Centoro B2B platform by implementing new modules to support key sales processes, including CRM, SFA (Sales Force Automation), analytics dashboards and reporting tools. The expansion of the system helps to increase the value of the solution on offer, which is reflected in the rising average customer value and strengthens the platform’s competitive advantages.
Expansion of the sales department
Between 2023 and 2025, the Company undertook a significant expansion of its sales department – the number of staff rose from 2 in September 2023 to 15 in June 2025. This growth enabled the Company to expand the scale of its sales activities and increase the number of new customers acquired. The sales team is responsible not only for sales and acquiring new customers, but also for building long-term relationships based on trust and product advice.
The Issuer plans to further expand its sales team in the coming quarters in order to increase its market reach, better meet customers’ needs and respond more quickly to changing market conditions. Expanding the sales force supports the Company’s strategy, which is based on dynamic growth and direct engagement with customers in the B2B sector.
Distribution agreement with Symfonia
Centoro S.A. has a distribution agreement with Symfonia concerning the jointly developed B2B solution, which is integrated with Symfonia’s software. Since mid-2024, the company has been acquiring its first customers and carrying out live implementations, alongside a process of continuous improvement of the solution to better tailor it to users’ needs.
The Centoro platform is offered under a white-label and referral model. The partner’s sales force is being gradually expanded – currently, selected in-house sales staff and partners are involved, and the aim is for sales to be handled by over 20 sales representatives and around 300 external partners.
Subscription-based revenue (SaaS)
As at the date of this Information Document, the Company’s sources of revenue are diversified: some comes from subscriptions, some from product implementations, and some from the retention and development of existing customers. The Issuer’s strategy is to consistently increase the proportion of subscription revenue, as this is the most scalable business model.
The company is gradually reducing the proportion of bespoke implementations in favour of product standardisation and the provision of ready-made functional modules. At the same time, each client implementation brings new requirements and insights, which contribute to the expansion of the platform’s functional capabilities.
An analysis of data from recent years reveals a clear upward trend in average revenue per subscriber. The Issuer’s forecasts indicate that the average revenue per subscriber will continue to rise in the coming years.

Investment in an innovative system
In June 2025, the Issuer secured an investment loan of PLN 3,000,000.00 to develop an innovative online sales system. The total value of the investment is PLN 3,254,000.00, and the planned implementation period is 24 months.
The loan term began on 1 July 2025 and will end on 30 June 2035. The aim of this investment is to further enhance the Issuer’s technological and functional capabilities.
The Company’s strategy for 2025–2027 envisages organic growth based on further product development and an expansion of the subscription customer base. The implementation of the strategy will be financed from the Company’s own resources, the issue of new shares and investment loans. The funds raised will enable the Company to accelerate the technological development of the platform and enhance the value of the solution offered to customers.
